This is an agreement between you, the Member (“you”, “yours”, “your”) and Nouri LLC, a Pennsylvania limited liability company, and its affiliated subsidiaries and related entities (collectively, “Nuri”, “Nouri LLC”, the “Company”, “we”, or “us”).

A. Acceptance of the Terms
These Terms of Service are between you and Nouri LLC. The following terms and conditions, together with any referenced documents, links, or affiliated social media websites and platforms incorporated by reference (“Terms of Service”), govern the access, use and exchange for the wellness and fitness based services and content provided herein (the “Services”).

By accessing, engaging, and/or using any portion of this site and the content herein, you acknowledge and accept the Terms of Service. You may not use our products or services for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).

A breach or violation of any of the Terms of Service will result in an immediate termination of your Services. Please review these terms and conditions prior to using and/or accessing the Company’s website. If you do not wish to accept these terms, please cease to access and engage with this website.

B. Changes to Terms
We reserve the right to modify these terms and conditions of the Company’s website at our sole discretion, without any notice to its users. The date depicted at the top of this page shall reflect the most recent date these terms and conditions were modified.

Continued use of the Company's website subsequent and simultaneous to such changes and the content provided therein render acceptance by its users of the modified terms. If you do not wish to accept these modified terms we kindly ask you cancel your membership and cease access to the Company’s website.

C. Access to Platform
In order to access the content provided on this website, you must be a paying customer of the Company. You must create an account to use the online studio. To do so, you must provide an email address, full name, billing address, credit card information, and create a password. By creating an account on our website, you agree to receive notices from us at the email address you used to create your Nuri account.

You shall not create or maintain an account if you are a member of a terror or hate
group. You shall not purchase any goods or software services from us if you are (a) located in a country that is subject to a U.S. Government embargo or has been designated by the U.S. Government as a terrorist-supporting country; or (b) listed on any U.S. Government list of restricted parties.

You may create an account if you are at least 18 years of age without parental/guardian consent. By creating an account, you represent that you are at least 18 years of age. In the event you are a parent or guardian of a Member under the age of 18 and to the extent of the law, you are granting your child permission to use the Services through your account, and you agree and understand that you are responsible for monitoring and supervising your child’s usage.

You are responsible for all activity that occurs under your account, including any
unauthorized activity. You must take measures to keep the confidentiality of your account credentials. If you are using a computer that others have access to, you must log out of your account after each session. If you become aware of unauthorized access to your account, you must change your password and notify us immediately at community@joinnuri.com.

You understand and agree that our Services are operated by the online platform:
Arketa. Therefore your access and use of the Services is
governed by Arketa’s Terms of Service and Privacy Policy, in addition to these Terms of Service and Nuri’s Privacy Policy. If you do not agree to the foregoing policies,
please cease use of the Services on this platform.

D. Prohibited Uses.
You are prohibited from using the site or its content: (a) for any unlawful purpose; (b) to solicit others to perform or participate in any unlawful acts; (c) to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances; (d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (e) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (f) to submit false or misleading information; (g) to upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Service or of any related website, other websites, or the Internet; (h) to collect or track the personal information of others; (i) to spam, phish, pharm, pretext, spider, crawl, or scrape; (j) for any obscene or immoral purpose; or (k) to interfere with or circumvent the security features of the Service or any related website, other websites, or the Internet. The Company reserves the right to terminate your use of the Service or any related website for violating any of the prohibited uses.

E. Intellectual Property Rights
The trademark Nuri and its content provided as Services on the platform is solely and exclusively owned by Nouri LLC. The content included on the Company's website is exclusively created and owned by Nuri’s founder. Members shall not distribute paid-for content to third parties. This includes posting on online forums, social media, and/or other means that share the Services with non-paying members. Unlawful distribution of an individual’s copyrighted work is strictly prohibited. By accessing the Services, you are granted a non-exclusive, non-transferable, revocable license to access the Arketa platform, strictly in accordance with these terms of use. All content included as part of the Service, such as text, graphics, logos, images, as well as the compilation thereof, all products sold, and any software used on the platform, is the property of Nouri LLC and its founder, and is protected by copyright, trademark, and other laws that protect intellectual property and proprietary rights. You agree to observe and abide by all copyright and other proprietary notices or other restrictions contained in any such content.

By accepting these Terms of Service, you agree that you shall not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part, found on the website. The content and Services provided on the Nuri platform is not for resale. Your use of the Site does not entitle you to make any unauthorized use of any protected content, and in particular you will not delete or alter any proprietary rights or attribution notices in any content. You will use protected content solely for your personal use, and will make no other use of the content without the express written permission of Nouri LLC and the copyright owner. You agree that you do not acquire any ownership rights in any protected content. The Company does not grant you any licenses, express or implied, to the intellectual property of Nouri LLC or our licensors except as expressly authorized by these Terms of Service.

UNLAWFUL DISTRIBUTION OF THE CONTENT PROVIDED ON THE WEBSITE IS STRICTLY PROHIBITED.

F. Subscription Purchases and Other Purchase Terms and Conditions
Nouri LLC is a women’s fitness, wellness, and lifestyle focused company. Thus to evolve and grow with the fitness and wellness industry and to create more content, on demand videos, and resources for you, its users, the Company reserves the right to modify its subscription pricing at its sole discretion. Nuri reserves the right to add or remove videos, recipes, and/or any of our content at any time.

In order to become an active member of Nuri, you must purchase a subscription and you must provide a valid payment method. We may apply taxes, including VAT (value-added
Tax, as applicable), to any charges. Nouri LLC does not control any fees that may be applied by your bank and/or credit card company. We reserve the right to change subscription fees and product pricing at any time. All pricing fees are not inclusive of any taxes and/or fees that may be imposed by the respective charging entity. You shall be responsible for payment of all taxes and/or fees that are associated and/or related to your purchases, hereunder, excluding only United States (Federal or State) taxes, if applicable.

You can cancel your membership anytime you want, however, please be sure to email us at community@joinnuri.com prior to your next billing cycle.

In the event you choose to cancel your membership which was obtained during promotional pricing and choose to return, your membership price will reflect the current rate being offered at the time of signing up again. A returning member will not receive a prior promotional price for their subscription.

ALL PURCHASES, INCLUDING MONTHLY SUBSCRIPTION RECURRING CHARGES, ARE FINAL AND NON-REFUNDABLE.

G. Nutrition Waiver.
Nouri LLC is a wellness platform and community. Nouri LLC is not providing medical advice nor is the Company a registered dietician or nutritionist. Nouri LLC is providing fitness classes and advice, recipes, and nutrition inspiration based on only. By engaging in the Company’s Services and accessing recipe content and the Hormonal Health Guide, you are aware and accept that Nuri is not providing medical, psychological, or prescription advice. Nuri’s Services are only intended to provide guidance and inspiration from its founder’s own experiences and knowledge obtained thereto.

The recipes and nutritional guidance recommended by Nuri are not meant to be used as prescriptions for diets, or supplements to treat any medical or clinical condition, to treat any symptoms of a medical or clinical condition or to diagnose a medical or clinical condition. Any nutritional information found on this website or in the Services is simply information regarding nutrition for healthy individuals only. If you have a medical or clinical condition, please consult a registered dietician and/or a physician for more information regarding nutrition and your condition.

H. Exercise Waiver.
The services provided by Nouri are on demand and do not require nor offer you, the user, a Nouri LLC affiliated “gym” or “fitness” space to utilize the fitness content provided on this website. The on demand workout/exercise videos provided are to be used. You are responsible for ensuring that you’re capable of safely using the Services. You should consult a medical professional and have a full physical before using the Services to ensure safe and proper protocol in doing so. You should especially consult a medical professional if you or a member of your family has a history of illness or injuries. If you have any reason to be concerned about whether you can safely use Nuri’s Services, for any reason at all, including but not limited to how you feel, medication you’re taking, past injuries or health issues, or family health issues, etc., then you shall refrain from using the Services. Even if you are careful and healthy, there remains the risk of illness or injury by participating in the Services. Participating in fitness activities comes with inherent risks. You assume all risk of injury and any health-related issue.

I. Third Party Affiliates
We may provide you with access or contain references to third-party tools over which we neither monitor nor have any control nor input. You obtain and refer to such tools at your own risk. You acknowledge and agree that we provide access to such tools “as is'' and “as available” without any warranties, representations or conditions of any kind and without any endorsement. We shall have no responsibility and no liability whatsoever arising from or relating to your use of optional third-party tools and/or resources that our Company may refer to. Any use by you of these optional tools offered through the site is entirely at your own discretion and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s).

J. Limitation of Liability
The Company shall not be liable to you and/or your affiliates, for damages of any kind. Nuri does not guarantee, represent or warrant that your use of our Service will be uninterrupted, timely, secure or error-free, as technology interruptions may be out of our control. You agree that from time to time we may remove the service for indefinite periods of time or cancel the service at any time, without notice to you.

You expressly agree that your use of, or inability to use, the service is at your sole risk. The service and all products and services delivered to you through the service are (except as expressly stated by us) provided ‘as is’ and ‘as available’ for your use, without any representation, warranties or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement. If you do any of the exercises or workouts in our Services, you do so at your own risk. Please be sure to consult a doctor before you do any exercises or workout.

In no case shall Nouri LLC, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.

K. Indemnification
You agree to indemnify, defend and hold harmless Nuri and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

L. Governing Law.
These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the state of Pennsylvania, United States of America.

M. Entire Agreement
The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

These Terms of Service and any policies or operating rules posted by us on this site or in respect to The Service constitutes the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).
Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.
